Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Planaro’s website, applications, and services (the “Service”). The Service is provided by SMARTYAI LTD (company no. 15254574), 20 Wenlock Road, London, England, N1 7GU, United Kingdom (“Planaro”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
1. Accounts & eligibility
You must be at least 18 years old and able to enter into a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account. Notify us immediately of any unauthorised use.
2. Plans, billing & trials
We offer a free plan and paid subscription plans with different features and limits, as described on our pricing page. We may offer free trials; unless you cancel before a trial ends, it may convert to a paid plan. We may change plan features, limits, and prices, giving reasonable notice of material changes that affect you.
3. Payments & renewals
Paid subscriptions are billed in advance on a recurring basis (monthly or annually) via our payment processors. By subscribing, you authorise us to charge your payment method for each renewal until you cancel. Fees are stated exclusive of taxes unless noted; you are responsible for applicable taxes. Except where required by law, payments are non-refundable.
4. Cancellation
You may cancel your subscription at any time from your account settings. Cancellation stops future renewals; your paid plan remains active until the end of the current billing period, after which your account reverts to the free plan or is closed. There are no long-term contracts.
5. Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, or harmful purposes;
- Send spam or unsolicited communications through the Service;
- Upload malware or attempt to breach, disrupt, or reverse-engineer the Service;
- Infringe the intellectual property or privacy rights of others;
- Resell or provide the Service to third parties except as expressly permitted.
6. Your data & your clients
You retain ownership of the content and client data you add to the Service. You grant us a limited licence to host and process it solely to provide the Service. You are responsible for having a lawful basis to collect and process your clients’ personal data and for complying with applicable data-protection laws. In respect of that client data, you act as the controller and Planaro as your processor. Our handling of personal data is described in our Privacy Policy.
7. Intellectual property
The Service, including its software, design, and branding, is owned by Planaro and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; they do not transfer any ownership to you.
8. Third-party services
The Service integrates with third-party providers (for example payment processors, calendar, email, and SMS providers). Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.
9. Availability & warranties
We work hard to keep the Service available and reliable, but we provide it “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law. We do not guarantee that the Service will be uninterrupted, error-free, or that it will meet every requirement. Nothing in these Terms excludes liability that cannot be excluded by law.
10. Limitation of liability
To the maximum extent permitted by law, Planaro shall not be liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the Service shall not exceed the amount you paid us in the twelve (12) months before the event giving rise to the claim.
11. Suspension & termination
We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to Planaro. You may stop using the Service at any time. On termination, your right to use the Service ends; sections that by their nature should survive (such as payment, IP, and liability) will survive.
12. Governing law & disputes
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules, and the courts of England and Wales shall have jurisdiction over any dispute. This does not deprive you of any mandatory consumer-protection rights available to you under the law of your country of residence — for example, if you are a consumer in the EU or Greece.
